<p>Akamai Technologies, Inc. (NASDAQ: AKAM), the world's most trusted solution to power and protect digital experiences, today announced it has entered into a definitive agreement to acquire Linode, one of the easiest-to-use and most trusted infrastructure-as-a-service (IaaS) platform providers.</p>

<p>Modern digital experiences, including virtual environments like the metaverse, are created through the convergence of media, entertainment, technology, ecommerce, financial services, and online games. Akamai has been a key partner to the world’s leaders in these industries for decades by powering and protecting applications in today’s multi-cloud, multi-platform world. Together with Linode, which has made it simple, affordable and accessible for developers to consume cloud computing, Akamai will become the world’s most distributed compute platform, from cloud to edge.</p>

<p>Christopher Aker, founder and chief executive officer, Linode, added, “We started Linode 19 years ago to make the power of the cloud easier and more accessible. Along the way, we built a cloud computing platform trusted by developers and businesses around the world. Today, those customers face new challenges as cloud services become all-encompassing, including compute, storage, security and delivery from core to edge. Solving those challenges requires tremendous integration and scale which Akamai and Linode plan to bring together under one roof. This marks an exciting new chapter for Linode and a major step forward for our current and future customers.”</p>

<p>Under terms of the agreement, Akamai has agreed to acquire all of the outstanding equity of Linode Limited Liability Company for approximately $900 million, after customary purchase price adjustments. As a result of structuring the transaction as an asset purchase, Akamai expects to achieve cash income tax savings over the next 15 years that have an estimated net present value of approximately $120 million. The transaction is expected to close in the first quarter of 2022 and is subject to customary closing conditions.</p>

<p>For fiscal year 2022, the acquisition of Linode is anticipated to add approximately $100 million in revenue and be slightly accretive to non-GAAP EPS by approximately $0.05 to $0.06. Akamai will provide additional details on Linode, along with Q4 and year end 2021 financial results and full year guidance on its earnings call today, February 15, 2022, at 4:30 p.m. ET.</p>

<p>Use of Non-GAAP Financial Measures <br />
In addition to providing financial measurements based on generally accepted accounting principles in the United States of America (GAAP), Akamai provides additional financial metrics that are not prepared in accordance with GAAP (non-GAAP). Management uses non-GAAP financial measures, in addition to GAAP financial measures, to understand and compare operating results across accounting periods, for financial and operational decision making, for planning and forecasting purposes, to measure executive compensation and to evaluate Akamai's financial performance. The non-GAAP financial measure used in this release is non-GAAP net income per diluted share.</p>

<p>Management believes that this non-GAAP financial measure reflects Akamai's ongoing business in a manner that allows for meaningful comparisons and analysis of trends in the business, as it facilitates comparing financial results across accounting periods and to those of our peer companies. Management also believes that this non-GAAP financial measure enables investors to evaluate Akamai's operating results and future prospects in the same manner as management. The non-GAAP net income per diluted share metric excludes expenses and gains that may be unusual in nature, infrequent or not reflective of Akamai's ongoing operating results.</p>

<p>This non-GAAP financial measure does not replace the presentation of Akamai's GAAP financial results and should only be used as a supplement to, not as a substitute for, Akamai's financial results presented in accordance with GAAP. For historical non-GAAP measures, Akamai has provided a reconciliation of each non-GAAP financial measure used in its financial reporting and investor presentations to the most directly comparable GAAP financial measure. These reconciliations can be found under the caption “Reconciliation of GAAP to Non-GAAP Financial Measures” on the Investor Relations section of Akamai's website.</p>

<p>Akamai provides forward-looking statements in the form of guidance and other expressions of expectations about future performance. These forward-looking statements are provided on a non-GAAP basis and cannot be reconciled to the closest GAAP measure without unreasonable effort because of the unpredictability of the amounts and timing of events affecting the items we exclude from non-GAAP measures. <p>Akamai’s definition of the non-GAAP measure used in this press release is outlined below:</p>

<p>Non-GAAP net income per diluted share – Non-GAAP net income divided by weighted average diluted common shares outstanding. Diluted weighted average shares outstanding are adjusted in non-GAAP per share calculations for the shares that would be delivered to Akamai pursuant to the note hedge transactions entered into in connection with the issuances of $1,150 million of convertible senior notes due 2027 and 2025, respectively. Under GAAP, shares delivered under hedge transactions are not considered offsetting shares in the fully-diluted share calculation until they are delivered. However, the company would receive a benefit from the note hedge transactions and would not allow the dilution to occur, so management believes that adjusting for this benefit provides a meaningful view of operating performance. With respect to the convertible senior notes due in each of 2027 and 2025, unless Akamai's weighted average stock price is greater than $116.18 and $95.10, respectively, the initial conversion price, there will be no difference between GAAP and non-GAAP diluted weighted average common shares outstanding.</p>

<p>Non-GAAP net income – GAAP net income adjusted for the following tax-affected items: amortization of acquired intangible assets; stock-based compensation; amortization of capitalized stock-based compensation; acquisition-related costs; restructuring charges; gains and losses on legal settlements; costs incurred related to endowments to the Akamai Foundation; amortization of debt discount and issuance costs; amortization of capitalized interest expense; certain gains and losses on investments; income and losses from equity method investment; and other non-recurring or unusual items that may arise from time to time.</p>

<p>The non-GAAP adjustments, and Akamai's basis for excluding them from non-GAAP financial measures, are outlined below:</p>

<p>• Amortization of acquired intangible assets – Akamai has incurred amortization of intangible assets, included in its GAAP financial statements, related to various acquisitions Akamai has made. The amount of an acquisition's purchase price allocated to intangible assets and term of its related amortization can vary significantly and is unique to each acquisition; therefore, Akamai excludes amortization of acquired intangible assets from its non-GAAP financial measures to provide investors with a consistent basis for comparing pre- and post-acquisition operating results.</p>

<p>• Stock-based compensation and amortization of capitalized stock-based compensation – Although stock-based compensation is an important aspect of the compensation paid to Akamai's employees, the grant date fair value varies based on the stock price at the time of grant, varying valuation methodologies, subjective assumptions and the variety of award types. This makes the comparison of Akamai's current financial results to previous and future periods difficult to interpret; therefore, Akamai believes it is useful to exclude stock-based compensation and amortization of capitalized stock-based compensation from its non-GAAP financial measures in order to highlight the performance of Akamai's core business and to be consistent with the way many investors evaluate its performance and compare its operating results to peer companies.</p>

<p>• Acquisition-related costs – Acquisition-related costs include transaction fees, advisory fees, due diligence costs and other direct costs associated with strategic activities. In addition, subsequent adjustments to Akamai's initial estimated amounts of contingent consideration and indemnification associated with specific acquisitions are included within acquisition related costs. These amounts are impacted by the timing and size of the acquisitions. Akamai excludes acquisition-related costs from its non-GAAP financial measures to provide a useful comparison of Akamai's operating results to prior periods and to its peer companies because such amounts vary significantly based on the magnitude of the acquisition transactions and do not reflect Akamai's core operations.</p>

<p>• Restructuring charges – Akamai has incurred restructuring charges from programs that have significantly changed either the scope of the business undertaken by the Company or the manner in which that business is conducted. These charges include severance and related expenses for workforce reductions, impairments of long-lived assets that will no longer be used in operations (including right-of-use assets, other facility-related property and equipment and internal-use software) and termination fees for any contracts canceled as part of these programs. Akamai excludes these items from its non-GAAP financial measures when evaluating its continuing business performance as such items vary significantly based on the magnitude of the restructuring action and do not reflect expected future operating expenses. In addition, these charges do not necessarily provide meaningful insight into the fundamentals of current or past operations of its business.</p>

<p>• Amortization of debt discount and issuance costs and amortization of capitalized interest expense – In August 2019, Akamai issued $1,150 million of convertible senior notes due 2027 with a coupon interest rate of 0.375%. In May 2018, Akamai issued $1,150 million of convertible senior notes due 2025 with a coupon interest rate of 0.125%. The imputed interest rates of these convertible senior notes were 3.10% and 4.26%, respectively. This is a result of the debt discounts recorded for the conversion features that are required to be separately accounted for as equity under GAAP, thereby reducing the carrying value of the convertible debt instruments. The debt discounts are amortized as interest expense together with the issuance costs of the debt. The interest expense excluded from Akamai's non-GAAP results is comprised of these non-cash components and is excluded from management's assessment of the company's operating performance because management believes the non-cash expense is not representative of ongoing operating performance.</p>

<p>• Gains and losses on investments – Akamai has recorded gains and losses from the disposition, changes to fair value and impairment of certain investments. Akamai believes excluding these amounts from its non-GAAP financial measures is useful to investors as the types of events giving rise to these gains and losses are not representative of Akamai's core business operations and ongoing operating performance</p>

<p>• Legal settlements – Akamai has incurred losses related to the settlement of legal matters. Akamai believes excluding these amounts from its non-GAAP financial measures is useful to investors as the types of events giving rise to them are not representative of Akamai's core business operations.</p>

<p>• Endowment of Akamai Foundation – Akamai has incurred expenses to endow the Akamai Foundation, a private corporate foundation dedicated to encouraging the next generation of technology innovators by supporting math and science education. Akamai's first endowment was in 2018 to enable a permanent endowment for the Akamai Foundation to allow it to expand its reach. In the fourth quarter of 2020 Akamai supplemented the endowment to enable specific initiatives to increase diversity in the technology industry. Akamai believes excluding these amounts from non-GAAP financial measures is useful to investors as these infrequent and nearly one-time expenses are not representative of its core business operations.</p>

<p>• Income and losses from equity method investment – Akamai records income or losses on its share of earnings and losses from its equity method investment. Akamai excludes such income and losses because it does not direct control over the operations of the investment and the related income and losses are not representative of its core business operations.</p>

<p>• Income tax effect of non-GAAP adjustments and certain discrete tax items – The non-GAAP adjustments described above are reported on a pre-tax basis. The income tax effect of non-GAAP adjustments is the difference between GAAP and nonGAAP income tax expense. Non-GAAP income tax expense is computed on non-GAAP pre-tax income (GAAP pre-tax income adjusted for non-GAAP adjustments) and excludes certain discrete tax items (such as recording or releasing of valuation allowances), if any. Akamai believes that applying the non-GAAP adjustments and their related income tax effect allows Akamai to highlight income attributable to its core operations.</p>

<p>Oracle has announced the opening of their Vinhedo Cloud region in Brazil to extend support to growing customer demand. This comes after the launch of the Sao Paulo Cloud region in 2020 that made Brazil Oracle’s latest country to provide dual cloud regions.</p>

<p>The Vinhedo Cloud Region’s opening registers the 30th cloud region of Oracle globally. It is a part of Oracle’s strategy to operate 38 Cloud regions by 2021 end. Global pandemic COVID-19 has contributed to the acceleration of digital transformation efforts in Brazil. Oracle is also working in collaboration with an organization in Brazil to help them in moving the cloud securely and without hampering any data sovereignty regulations.</p>

<p>Oracle will continue making some important investments in Brazil to support the rapidly increasing number of partners and customers. This news came as a follow up of the recent announcement by Microsoft and Oracle regarding the expansion of their cloud interoperability partnership so that both of them can help customers globally. The strategically chosen interconnect location in Brazil states that enterprises can build workloads that smoothly interoperate between Microsoft and Oracle cloud region on Brazil.</p>

<p>A Russian investment consortium has purchased a 100% stake in Svyaz VSD LLC, the Russian subsidiary of the Netherlands-based Linx Telecommunications Holding B.V. The purchase includes Linxdatacenter’s LinxCloud platform and two large data centers in Moscow and St. Petersburg with a total area of 13,400 square meters.</p>

<p>Linxdatacenter has been acquired by Russian Direct Investment Fund (RDIF, Russia’s sovereign wealth fund) alongside JSC ER-Telecom Holding (Dom.ru and Dom.ru business trademarks) as well as Talos Fund I LP – a leading fund from the Middle East specializing in investment in advanced technologies including AI.</p>

<p>Linxdatacenter provides cloud and colocation solutions at its TIER III-compliant data centers in Moscow and Saint Petersburg, as well as at partner data centers in Warsaw and Frankfurt. It also offers fast connectivity to global cloud services, such as AWS and GCP. The company is certified to provide infrastructure and legal solutions in compliance with personal data legislation (FZ-152). The company’s data centers are certified under ISO 27001, ISO 9001, ISO 22301, and PCI DSS standards.</p>

<p>As a business entity located in the Netherlands, Linx Telecommunications Holding B.V. was established in 2001 by multinational enterprise Koop Holding Europe B.V. and a number of private investors. Linx has invested in telecommunication infrastructure, data centers and cloud services in the Baltic region, the Russian Federation and Poland.</p>

<p>“With Linxdatacenter being one of the leaders in the Russian data center and cloud market for many years, the interest of such high-profile investors and their anticipation of the future evolution of the business is highly justified,” said Olga Sokolova, General Director of Linxdatacenter Russia.  At the same time, the consortium has announced a joint investment in the creation of a “leading autonomous” cloud service in Russia based on Linxdatacenter assets.</p>

<p>The joint cloud platform would provide the necessary virtual infrastructure to the largest Russian and international enterprises for performing their key tasks, ensuring operational continuity and minimizing business risks. The cloud strategy will concentrate on expansion of the virtual services’ portfolio, particularly solutions using AI technologies, in cooperation with RDIF’s international partners.</p>

<p>Global technology distributor Arrow Electronics has signed a pan-European distribution agreement with global cyber security company Secureworks. This would add a comprehensive portfolio of “scalable and complementary” cyber security software and services to Arrow’s European offering.</p>

<p>“Arrow is Secureworks’ preferred distributor in North America and is well positioned globally to help the channel partner community deliver Secureworks products and services to the European cyber security market,” said Maureen Perrelli, chief channel officer at Secureworks.<br />
Secureworks provides software-driven cyber security solutions. Products and services available within the new distribution agreement include Secureworks Taegis XDR (Extended Detection and Response), Secureworks Taegis ManagedXDR, Secureworks Taegis VDR and the Secureworks Incident Management Retainer, which can be proactively deployed during emergency situations.</p>

<p>Microsoft has announced it will acquire Nuance for $56 per share in an all-cash transaction. The total amount is just shy of $20 billion for the acquisition, which offers new abilities to Microsoft to better serve the healthcare industry.</p>

<p>Nuance is known as a “trusted” cloud and AI software company and has years of experience serving the healthcare industry. The current CEO of Nuance, Mark Benjamin, will remain as the CEO and this acquisition is expected to be finalized by the end of 2021.</p>

<p>Responding to New Opportunities Faster<br />
Microsoft is looking for new ways to accelerate its cloud offerings in the healthcare industry. They introduced Microsoft Cloud for Healthcare in 2020 and this new acquisition may help to strengthen their offering in the industry. Microsoft expects to be able to respond to new opportunities easier with this acquisition when it comes to industry-specific cloud strategies, specifically for the healthcare industry.</p>

<p>When it comes to cloud-based ambient clinical intelligence and conversational AI for healthcare provides, Nuance has positioned itself as a “leading” provider and a pioneer. They created popular products, such as the Powerscribe One, Dragon Ambient eXperience, and Dragon Medical One. These products have helped those in the healthcare industry provide better reporting and better speech recognition.</p>

<p>With the SaaS offerings already built on Microsoft Azure, the companies seem to fit well together. Many of the products created by Nuance work with core healthcare systems due to their longstanding relationships.</p>

<p>By acquiring Nuance, Microsoft will double the total addressable market or TAM within the healthcare space. The company will have a TAM in healthcare close to $500 billion after the acquisition. The two companies would also offer a higher standard when it comes to data security, compliance, and privacy.</p>

<p>The AI layer from Nuance offers a real-world enterprise AI and one of the top priorities for Microsoft and the healthcare industry. This acquisition may allow Microsoft to place advanced AI solutions into the hands of healthcare professionals across the world. It may also help to accelerate the growth of the Microsoft Cloud for Healthcare product as they add Nuance to the offering.</p>

<p>While the acquisition will likely have the most impact on how Microsoft offers products to the healthcare industry, it can go further than just healthcare. Nuance offers AI solutions that may help other industries and companies across the globe. Microsoft is expected to merge the technology into other offerings to help customers engaging with all types of solutions and products they currently offer.</p>

<p>Both Microsoft and the Nuance Boards of Directors provided unanimous approval of the transaction. The deal is expected to close by the end of the year. It must still be approved by the Nuance shareholders and must go through regulatory approval, as well.</p>

<p>Once the deal closes, Nuance’s financials will likely be reported as a segment of the Microsoft Intelligent Cloud.</p>

<p>Content delivery network provider Cloudflare has partnered with NVIDIA to bring AI to the edge at scale through its global edge network. The combination of NVIDIA accelerated computing technology and Cloudflare’s edge network would create a massive platform on which developers can deploy applications that use pre-trained or custom machine learning models in seconds.</p>

<p>Today’s applications use AI for a variety of tasks, from translating text on webpages to object recognition in images, making machine learning models a critical part of application development. Users expect this functionality to be fast and reliable, while developers want to keep proprietary machine learning models reliable and secured.</p>

<p>“NVIDIA offers developers AI frameworks to support applications ranging from robotics and healthcare to smart cities and now cybersecurity with the recently launched Morpheus,” said Kevin Deierling, senior vice president of networking at NVIDIA.<br />
NVIDIA provides developers with a broad range of AI-powered application frameworks including Jarvis for natural language processing, Clara for healthcare and life sciences, and Morpheus for cybersecurity.</p>

<p>The combination of NVIDIA’s technology and Cloudflare’s edge network would allow for deployment of applications that use pre-trained or custom machine learning models in seconds. By leveraging the TensorFlow platform, developers can use familiar tools to build and test machine learning models, and then deploy them globally onto Cloudflare’s edge CDN.</p>

<p>“Cloudflare Workers is one of the fastest and most widely adopted edge computing products with security built into its DNA,” said Matthew Prince, co-founder and CEO of Cloudflare. “Now, working with NVIDIA, we will be bringing developers powerful artificial intelligence tools to build the applications that will power the future.”</p>

<p>Centralized servers or Cloud Regions<br />
Machine learning models are often deployed on expensive centralized servers or using cloud services that “limit” them to cloud regions around the world. Together, Cloudflare and NVIDIA, intend to put machine learning within milliseconds of the global online population -enabling high performance, low latency AI to be deployed by anyone. And, because the machine learning models themselves will remain in Cloudflare’s data centers, developers can deploy custom models without the risk of putting them on end user devices where they might risk being stolen.</p>

<p>“As companies are increasingly data-driven, the demand for AI technology grows,” said Kevin Deierling, senior vice president of networking at NVIDIA. “NVIDIA offers developers AI frameworks to support applications ranging from robotics and healthcare to smart cities and now cybersecurity with the recently launched Morpheus.”</p>

<p>Internally, Cloudflare uses machine learning for a variety of needs including business intelligence, bot detection, anomaly identification, and more. Cloudflare uses NVIDIA accelerated computing to speed up training and inference tasks and will bring the same technology to any developer that uses Cloudflare Workers.</p>

<p>Kemp has announced that it is going to create a combination application experience (ax) with network performance monitoring and diagnostic (NPMD) capabilities of its Flowmon product line with the LoadMaster load balancer. The Kemp load balancers consist of native flow-export capabilities, taking advantage of the common protocols such as NetFlow IPFIX. These protocols would lead to perfect transparency to the performance and status of the network.</p>

<p>Network knowledge has emerged as one of the most important aspects for a healthy, secure, and well-performing application environment with the growth in today’s application infrastructure that is shaped with the help of cloud, edge computing, and network knowledge.</p>

<p>Data center company Cologix has acquired a five-acre data center campus from vXchnge. The acquired facility has an existing 9 MW of power, with room to expand by a further 10 MW. In Silicon Valley, one of the world’s largest interconnection hubs and home to quite some iconic technology companies.</p>

<p>The acquisition would bring Cologix dozens of leading cloud, software and carrier customers as well as land to expand in response to accelerated demand for cloud deployments “at the digital edge.”</p>

<p>“This acquisition fits into Cologix’s cloud-first growth strategy by expanding our national footprint into the heart of Silicon Valley,” said Bill Fathers, Chief Executive Officer (CEO) of Cologix.<br />
This data center acquisition will bring the Cologix Platform more space, power and connectivity in the region, while enhancing Cologix’s market position as an interconnection leader. Financial terms of this acquisition were not disclosed.</p>

<p>“Silicon Valley continues to have one of the fastest growing data center markets in the world with strong fiber connectivity to Internet backbones and a growing density of hyperscale on-ramps,” said Bill Fathers, Chief Executive Officer (CEO) of Cologix. “This acquisition fits into Cologix’s cloud-first growth strategy by expanding our national footprint into the heart of Silicon Valley, starting with an established interconnection hub. <p>It’s not the first vXchnge data center acquired by Cologix. In August last year, Cologix purchased vXchnge’s 16,000 square foot data center in Minneapolis, Minnesota.</p>

<p>Public Cloud Onramps<br />
Customers on this data center campus will get access to Cologix Access Marketplace, which provides on-demand connectivity to onramps including Amazon Web Services Direct Connect, Google Cloud Platform Interconnect, Microsoft Azure ExpressRoute, IBM Cloud Direct Link and Oracle Cloud Infrastructure FastConnect, as well as to many other cloud platforms and network services.</p>

<p>The transaction, which is only subject to customary regulatory approvals, is expected to close in early Q2 2021. It will be funded through a combination of equity from Cologix’s partner, Mubadala, and an increase to their debt facilities.</p>
